Purpose of the role:

This is a new role for a senior commercial attorney with an interest in complex contracting and experience helping to develop an in-house contracting function. The Director, Corporate Counsel will be the senior attorney on a four-person contracting team, responsible for review and negotiation of more challenging contracts and for escalation support when requested by teammates. The ideal candidate will have interest and experience in helping to develop junior colleagues, and a commitment to teamwork and collaborative problem solving. The Corporate Counsel will work in a dynamic, multidisciplinary environment, collaborating with project managers in all departments of the company to ensure excellent cross-functional cooperation, visibility and customer service.

Position Responsibilities:
  • Drafting, review and negotiation of complex off-template contracts, including commercial, marketing and pharmacy agreements, manufacturing and CRO agreements, sponsorship and CME grant agreements, and other contracts requiring enhanced review and negotiation.
  • Work in partnership with project managers in Supply Chain, Manufacturing, Finance, Human Resources, Marketing, Commercial, Medical Affairs and Market Access to ensure that contract negotiations advance in alignment with operational objectives.
  • Provide assistance as needed with licensing matters, lease negotiations, quality agreements, research collaborations.
  • Advise Legal Dept. colleagues on contracting matters as requested by them from time to time.
  • Assist with development and implementation of company policies as needed.
  • Assist with initiatives to optimize the Legal contracting function through process development, systems improvements and template management.
  • Support Associate General Counsel and General Counsel as needed with other legal matters.
Position Requirements:
  • 6+ years' experience as a corporate attorney in the biotech and pharmaceutical space.
  • Minimum 3 years in-house experience with a commercial biotech or pharmaceutical company.
  • Extensive experience drafting, reviewing and negotiating complex transaction agreements.
  • Solid understanding of the rules and regulations applicable to biotechnology and pharmaceutical products, including GXP, HIPAA and Sunshine Act compliance.
  • Ability to effectively evaluate legal exposure, manage risk and develop creative, client-focused solutions to achieve business goals within appropriate legal guidelines.
  • Ability to independently manage workload in a fast-paced environment.
  • Business partner orientation and ability to recognize and to respond quickly, clearly and pragmatically to urgent situations.
  • Collaborative mindset and ability to share information, goals, opportunities, successes and challenges with team members.
  • Ability to effectively communicate with colleagues at all levels of the corporate structure.
  • JD and licensed to practice law in the United States.
Remote-based position.
The anticipated annualized base pay range for this full-time position is $218,372 - $266,899. Ardelyx utilizes industry data to ensure that our compensation is competitive and aligned with our industry peers. Actual base pay will be determined based on a variety of factors, including years of relevant experience, training, qualifications, and internal equity. The compensation package may also include an annual bonus target and equity awards, subject to eligibility and other requirements.
