POSITION SUMMARY:

The Senior Legal Support Representative reports to Assistant Corporate Secretary within the Corporate Secretary Legal Administration Group. The Senior Legal Support Representative is responsible for providing support within the CSLA team, which is responsible for maintaining the legal and domiciliary structure of BBH clients, including board meeting preparation and support, annual general meetings, client contracts and organizational documents, compliance with the local regulator and performing related regulatory filings, as needed. The Senior Legal Support Representative will be expected to perform these duties with some supervision from the Assistant Corporate Secretary.

POSITION SCOPE:

1. The Senior Legal Support Representative will be responsible for preparing timely and accurate Board materials for specific clients. The Senior Legal Support Representative is responsible for maintaining a corporate calendar for the client so that he/she is aware of when each Board meeting is held and when material is due to the client.

2. While performing these duties, the Senior Leal Support Representative will also take into consideration the Board meeting and regulatory support he or she provides to other clients and the timing of other client filings and Board meetings/shareholder meetings. He or she will schedule deliverables that meet the standards of the department procedures and will also take into consideration the timing of other team members. The Sr Legal Support Representative will have successfully completed this role when they can evidence that their client deliverables and meetings fit within the overall department schedule, and if there are conflicts, escalates appropriately to the Assistant Corporate Secretary.

3. The Senior Legal Support Representative will interact with internal members of the Client Service Team and the Relationship Management team when onboarding new clients in order to obtain the appropriate records and will have an ongoing relationship with these individuals in order to obtain reporting for Board meetings, and with the financial reporting group in order to obtain financial statements for annual regulatory filings. The Senior Legal Support Representative will have significant access to external clients as they assemble Board materials, attend Board meetings and take comments of resulting meeting minutes. The Senior Legal Support Representative will have daily interactions with other members of the CSLA team and is expected to escalate any issues with completing his or her job responsibilities to the Assistant Corporate Secretary.

4. This position will have indirect supervisory responsibilities for any Grade 5 positions or interns to ensure that they are trained correctly.

JOB DUTIES:

  • With minimal supervision, draft memorandum and resolutions for board meetings. Coordinate production of Board Meeting Materials. Attend Board Meetings and draft minutes. Prepare Annual General Meeting materials, or other shareholder meetings materials, attend meeting and draft minutes. Maintain corporate calendars for Board meetings and annual general meetings.

  • Oversee the maintenance of the corporate records for all domiciliary clients, including confirming that all records at the time of conversion have been logged and ongoing maintenance and review of these records is being performed.

  • Independently obtain copies of the annual financial statements and prepare filings for the local regulators. Prepare other regulatory filings as is necessary.

  • Participate in the annual review of department Policies and Procedures, in order to validate their effectiveness. Assist the Assistant Corporate Secretary with applicable internal and external reviews of these procedures.

  • Participate in special projects involving the CSLA department, as directed by the Assistant Corporate Secretary.

Education Level - BA or Equivalent

Relevant Professional Experience - Up to 5 Yrs

Technical Capabilities - Strong Written Communication Skills
