This position is an opportunity for a talented transactional lawyer to serve in an impactful, business-oriented in-house legal role in the medical device industry, supporting ZOLL's Acute Care Technology business. Serving as a critical member of a dynamic team, the Counsel will partner with the business to review, negotiate, and draft a wide range of commercial agreements and provide legal advice on a broad range of issues.

The position supports all levels of the businesses, but entails significant interaction with business leadership across all functions, and accordingly requires meaningful judgment, discretion, and organizational intelligence. The Counsel will collaborate with internal clients in all functional areas, including R&D, sales, marketing, sourcing, compliance, and clinical and scientific affairs. Success will help drive sales acceleration and speed new products to market. Counsel may also occasionally support corporate-wide initiatives and the legal needs of ZOLL's other business units, as the legal department works collaboratively based upon workload and bandwidth.

The position reports to the Senior Director, Associate General Counsel in the Acute Care Technology business, and is located in Chelmsford, MA.

Essential Functions

  • Draft and Negotiate Contracts - Review, manage, and maintain the division's contract templates. Review and negotiate all forms of contracts and third party agreements with customers, vendors, and business partners. Examples include sales and lease agreements supply agreements, services agreements, distribution agreements, clinical trial agreements, and technology license agreements. In particular, the sales process can entail significant contract negotiation.

  • Advise the Business - Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients. Provide proactive legal and business counseling on a broad range of topics, including, general commercial law, contract interpretation, and, in conjunction with other subject-matter experts, healthcare compliance issues, privacy, and intellectual property.

  • Developing processes -- Assist in the development and/or enhancement of business and legal processes and procedures.

  • Support Corporate Initiatives - Assist with corporate-level initiatives or other duties as assigned by the Senior Director, Associate General Counsel.


Required/Preferred Education and Experience

  • J.D. from an accredited institution.

  • A minimum of five years of legal experience as a commercial transactions attorney in private practice or in-house required.

  • Membership in good standing in at least one state bar.
