ASSOCIATE GENERAL COUNSEL (HYBRID - ALL US OFFICES)

The Associate General Counsel will be an integral part of a small, collegial, and cohesive legal team. The Office of the General Counsel provides internal legal support across all areas of the Firm, and advises regarding all legal or contractual matters with respect to the Firm's engagements.

A successful candidate will have impeccable ethical standards, exercise excellent judgment, and exhibit a strong client service orientation. They will be excited to work as part of a small team that brings their sense of humor to the workplace, while being flexible meeting day-to-day demands and working well under pressure or tight deadlines. This individual should also be able to establish credibility with stakeholders and interact tactfully, courteously, and professionally with clients and colleagues at all levels. The Associate General Counsel will report directly to the Senior Vice President and General Counsel.

How You'll Help Our Team Succeed

  • Provide legal counsel and act as a thought leader and business partner to the Firm's corporate groups and consultants.
  • Ensure that the Firm conducts its business in compliance with applicable laws and regulations.
  • Prepare, review, revise, and negoitate agreements and other documents relating to client engagements, such as engagement agreements, expert agreements, buinsess associate agreements, data privacy agreements, protective orders, confidentiality agreements, outside counsel and billing guidelines, etc.
  • Prepare Company contract templates or review, revise, and negotiate third party contracts including external staff agreements, independent contractor agreements, vendor agreements, subscription agreements, confidentiality agreements, and various other corporate department agreements.
  • Research a wide variety of complex legal issues impacting client engagements (e.g. intellectual property rights; licensing; data security requirements; insurance; tax) and general business obligations.
  • Assist with the collection of delinquent accounts.
  • Manage outside counsel as needed.
  • Respond to subpoenas or other inquires, including from government agencies.
What You'll Need to Be Successful
  • 10-15 years of directly related experience; law firm or professional services firm experience preferred.
  • Leadership: The desire to take initiative and actively contribute to the team and the firm.
  • Communication: The ability to communicate effectively and professionally.
  • Business acumen: The ability to learn the firm's financial and operational functions.
  • Client service: The mindset to provide superior service to our internal and external clients.
  • Take pride in your work: Consistently strive for quality.
  • Prior litigation experience in a mid-sized to large established law firm a plus, including in the healthcare or data privacy field.
  • Strong drafting skills are required.
  • Juris Doctorate and admission to State Bar are required.
